These Terms & Conditions govern all quotations, proposals, purchase requests, invoices, and product sales made by Everest Mouldings & Specialties (“Seller”) for products promoted under the trade name LightCoves.ca. By requesting a quote, approving a quote, placing an order, or remitting payment, the customer (“Buyer”) accepts and agrees to these Terms & Conditions.
1. Sales Structure
All sales occur through a quotation → approval → invoice → payment process. Prices, terms and shipping estimates are confirmed in writing at the quotation stage. Production does not begin until payment is received in full unless otherwise expressly stated in writing.
2. Quotations & Pricing
All quotations issued are valid for the time specified on the quote. Prices may change due to changes in material cost, currency, or supply chain conditions. Quotes are not binding until formally accepted by Buyer and confirmed by Seller.
3. Custom Manufacturing
Most mouldings sold by Everest Mouldings & Specialties are manufactured on a custom or made-to-order basis. Once production begins, orders are non-cancelable and non-refundable.
4. Payment Terms
Full payment is required prior to production unless alternative terms are formally approved. Payments are not considered received until cleared by Seller’s financial institution.
5. Specifications and Variations
Profiles, dimensions, coatings, densities, weights, and finishes may vary slightly within acceptable tolerance ranges. Such variations shall not constitute defect, non-conformity or grounds for order cancellation.
6. Installation Responsibility
Installation is optional and not automatically included in product purchase. Buyer is responsible for ensuring proper installation conditions, measurements, LED selection (if used), electrical compliance, and wall/ceiling suitability.
If Everest Mouldings & Specialties provides installation, such installation work shall be governed under a separate project estimate and separate terms.
7. Limitation of Liability
Seller shall not be liable for consequential, indirect, incidental, special, or punitive damages, including but not limited to labour costs, reinstallation, electrical work, LED failures, construction delays, or design impacts. Liability is strictly limited to replacement of defective product as set out in our Lifetime Warranty Policy.
8. Governing Law & Venue
These Terms & Conditions shall be governed exclusively by the laws of the Province of Ontario and federal laws of Canada applicable therein. Any dispute shall be heard exclusively in Toronto, Ontario.
9. Acceptance
By approving a quote, placing an order, or making any payment to Everest Mouldings & Specialties, Buyer acknowledges and agrees to these Terms & Conditions of Sale.
